  1. Eligibility & Registration
    1.1 Unless otherwise agreed in writing, wholesale registration is limited to Australian-based retail and online businesses with a valid ABN. All stockists must register on the Nutmeg Creative Wholesale Portal accessible via https://nutmegcreative.com.au/wholesale/ and submit a stockist application for consideration by Nutmeg Creative. Any ‘in person’ orders will automatically be set up with a registration / login and details will be forwarded via email.
    1.2 Whilst we do not currently have strictly imposed postcode or other area exclusivity/restrictions, Nutmeg Creative reserves the right to deny an application based on the number of approved stockists already in an area.
  2. Ordering
    2.1 All orders must be placed through the Nutmeg Creative Wholesale Portal accessible via https://nutmegcreative.com.au/wholesale/with the exception of ‘in person’ orders which may be placed through the ‘Wholesale Order Form’. A copy of the Wholesale Order Form will be emailed to the purchaser for their records within 24 hours of the ‘in person’ order being made.
  3. Payment
    3.1 Prices are listed in Australian Dollars (AUD) and exclude GST. Nutmeg Creative is not a GST registered business.
    3.2 Payment is required to be made at the time of placing your order, unless agreed otherwise in writing.
    3.3 For ‘In person orders’ a minimum non-refundable deposit of 20% must be made at the time of placing the order. The balance will be invoiced via the provided email address with full payment required prior to the order being dispatched.
    3.4 Should you wish to make payment via direct deposit, please forward a screenshot of your complete order, including all items from the online checkout and email to hello@nutmegcreative.com.au An invoice will be forwarded to you within 48 hours. Full payment is required prior to your order being dispatched.
    3.5 A merchant fee of 1.9% may be applied to purchases made by credit card.
  4. Postage / Delivery / Shipping
    4.1 Postage / Delivery / Shipping will be made via Australia Post (or alternative where required) based on weight and charged in AUD with a minimum charge of $12.95.
    4.2 Where relevant, hand delivery within the Adelaide Metropolitan Area may be available at Nutmeg Creative’s discretion. Starter Packs do not incur postage fees.
    4.3 Once items have been dispatched, Nutmeg Creative will not be liable for any shipping delays or damage. Should you wish for shipping insurance to be added to your order, please contact hello@nutmegcreative.com.au within 24 hours of placing your order. Additional fees may apply.
    4.4 Upon successfully becoming a Nutmeg Creative Stockist you will be given a unique one-off discount code for free shipping / delivery on your first wholesale order. Alternatively, the code “FIRSTORDER” can be applied for free shipping / delivery on your first wholesale order. Please enter this code at the checkout as it cannot be applied retrospectively.  
    4.5 Nutmeg Creative offers free Australian domestic postage for orders over $500 AUD, excluding postage. For all orders below $500 AUD in total, the postage cost is incurred by the retailer as per section 4.0
  5. Turnaround times
    5.1 In-Stock Items: Orders for in-stock items will typically be dispatched within 1-3 business days, depending on the quantity and order specifics.
    5.2 Out-of-Stock Items: If an item is out of stock, it will be placed on backorder and dispatched separately once it becomes available. Turnaround times for these orders may vary based on availability, but generally, orders for Greeting Cards will take approximately 1-3 weeks, and Tote Bags may take 2-12 weeks, depending on stock levels.
    5.3 Please note that these turnaround times refer to the time required for dispatch. Delivery timeframes will depend on the chosen shipping method and the destination and are not included in the turnaround times.
    5.4 While we aim to process orders as quickly as possible, turnaround times can be subject to external factors such as production schedules and supplier lead times. Nutmeg Creative will notify you if there are any significant delays.
  6. Packaging & Display
    6.1 Products must be sold and displayed in their original packaging. However, ‘store/display copies’ of relevant stationery items may be sold without packaging. Greeting cards may be displayed with or without cello sleeves.
  7. Cancellations
    7.1 Any cancellations made by the purchaser are to be submitted in writing via email to hello@nutmegcreative.com.au within 24 hours of placing an order. Any orders that have been dispatched cannot by cancelled.
    7.2 Nutmeg Creative maintains the authority to cancel any order and issue a full refund at its discretion. Any misuse of the Wholesale Online Platform, including orders not placed in good faith may result in the cancellation of subsequent orders.
  8. Returns & Refunds
    8.1 Orders are non-returnable and non-refundable unless otherwise required by Australian law.
    8.2 Nutmeg Creative cannot guarantee that a design will be a perfect fit for every store, as preferences and needs may vary. We also cannot guarantee specific sales outcomes.
    8.3 In the event of dissatisfaction with the Order, you agree to notify us in writing within seven (7) days of delivery. We will attempt to resolve any concerns amicably. If a resolution cannot be reached, both parties agree to mediation prior to pursuing any legal remedies.
    8.4 To the fullest extent permitted by law, our liability for any claim related to your Order is limited to the amount paid by you for the Order. We will not be liable for any indirect, consequential, or incidental damages, including loss of profit or goodwill.
  9. Imagery & Product Variations
    9.1 Photos and online imagery are for illustrative purposes only. Digital mock-ups have been used in some instances to create a consistent shop look.
  10. Restrictions on Distribution & Sub-Distribution
    10.1 The Retailer must not, except with the prior written consent of Nutmeg Creative:
    (a) appoint a sub-distributor or sub-license the rights granted under these Terms to any third party;
    (b) market, sell, and/or distribute any Goods from locations other than the Authorised Addresses.
    10.2 The Retailer must not market, sell, and/or distribute any Goods:
    (a) on third-party marketplaces such as Facebook Marketplace or eBay;
    (b) from a market or other location that is not an Authorised Address;
    (c) to a third party for wholesale purposes, wholesale pricing, or any other purposes related to the wholesale of goods.
  11. General Terms
    11.1 Nutmeg Creative reserves the right to update or amend these terms and conditions at any time without prior notice. Please check fine print regular for any changes.
    11.2 Continued use of our services constitutes acceptance of any updated terms.
    11.3 Any disputes shall be resolved in accordance with South Australian law. We will attempt to resolve any concerns amicably. If a resolution cannot be reached, both parties agree to mediation prior to pursuing any legal remedies.
